Legal support in the purchase of a thermal power plant
The deal had to be preceded by the transfer of rights to real property (230 facilities), specialized machinery and infrastructure facilities, leasehold to 17 land plots, re-registration of contracts under which the thermal power plant was maintained, and transfer of all employees. The thermal power plant was not a separate legal entity but the deal was structured using merger and acquisition elements.
Development of an optimal deal structure and deal terms, specifically, settlement schemes (in particular, additional remuneration payable to the seller after a certain economic effect is achieved); risk hedging mechanisms, including by means of an elaborate scheme of warranties, representations and indemnification of the seller, incorporated in the mandatory deal documents on the basis of conducted due diligence, including all mandatory transaction documents, in particular, a letter of intent, purchase and sale agreements and other contracts under the approved deal structure. Assistance in obtaining required approvals, notifications and agreements, as well as in the deal signing and closing.
