Legal support to a bank in real estate transactions
– Legal due diligence of a debtor that owns a shopping mall in Yekaterinburg: checking the rights to the shopping mall building with a total area of 73,500 square metres, analysing the rights to land, reviewing about 120 effective lease agreements (certain agreements were terminated following the shopping mall closure) and preparing comments on potential options to structure the sale of the shopping mall.
– Supporting an acquisition of a manufacturing complex (NovyUrengoy): reviewing rights to the target real estate and the interest of the seller, drafting contracts supporting the deal.
As part of the consulting support of an acquisition by a bank of real estate under construction in Moscow, we found the optimal option of deal formalisation from the civil law, corporate law and tax law perspectives, amended an investment contract to mitigate tax risks and provide for optimal tax accounting, analysed a draft co-investment contract and an ancillary interest assignment contract to mitigate the customer’s tax risks.
