The FBK Legal team has released a bulletin summarising key changes in corporate law — a practical overview for businesses.

The bulletin sheds light on the following issues:

  1. Fair value upon withdrawal from an LLC — consideration of goodwill for market valuation of an ownership interest.

  2. Stability of transactions following a change of ownership — protection against challenges by a new owner to transactions concluded under the previous owner.

  3. Simplification of holding structures — legal recognition of nested corporate structures (the so-called ‘matryoshka companies’).

  4. Flexibility of pre-emptive rights — the possibility to limit or waive such rights in the company charter.

  5. Liability for representations in M&As — the seller bears liability even when due diligence has been conducted.

  6. Protection against minority shareholder dilution — additional share issuances require economic justification.
