Ismail Khalilov is a Senior Lawyer at FBK Legal. Joined the team in 2021.

He has been working in the field of civil, corporate, urban planning, banking and arbitration law (including international commercial arbitration) since 1995.

Ismail specializes in supporting large oil and gas infrastructure and construction projects, conducting due diligence, supporting transactions for the acquisition of shares in the ownership of construction in progress and put into service real estate, other assets.

He advises industrial companies and holdings, leads projects for their judicial support.

Over 25+ years of practice, Ismail has gained unique experience in solving legal issues both in the banking industry and at fuel and energy enterprises, including oil and gas construction in the CIS countries and Russia, as well as international experience in working with jurisdictions in the law of England and Wales.

  • Legal expertise of construction contracts (general contract, subcontract), supply contracts (purchase and sale), including those for the import of goods, guarantee contracts, insurance, lease of real estate (vehicle), contracts for the issuance of a bank guarantee, pledge, loan, contracts assignment of rights to claim and transfer of debt (cession), contracts for the provision of services for a fee, including services for wells drilling, commissioning (services), logistics, insurance, customs, brokerage and other services.

  • Drafting contractual relations structure to ensure the construction process is a part of the main gas pipeline construction, booster compressor stations, and other construction projects, including drafts development of various contracts (construction contract, supply (purchase and sale) of materials and equipment, insurance, lease of property (vehicle), provision logistics, customs, brokerage and other services.

  • Legal support of a major international project for the construction of the Uzbekistan-China gas pipeline, passing from the Republic of Turkmenistan through the territory of the Republic of Uzbekistan to the PRC, as well as the creation of companies and oil and gas construction projects in the Republic of Uzbekistan, legal support of these projects as a general contractor with the participation of investors and foreign oil and gas companies, banks from Russia, USA, UK, EU, China.

  • Legal support of the National Bank for Foreign Economic Activities of the Republic of Uzbekistan (NBU), due diligence of loan documentation for project financing of commercial contracts, basic agreements and legal documentation related to banking operations (transactions) and the activities of the NBU, legal due diligence and issuance of legal opinions on loans issued by International Financial Institutions (Asian Development Bank, European Bank for Reconstruction and Development, Tokyo Bank), participation as a legal adviser at a meeting of the Credit Committee and the Committee on Problem Loans of the NBU, representing the NBU and its branches in the Economic (Arbitration) Courts of the Republic of Uzbekistan , including successful contestation of claims and lawsuits of clients against the NBU (in the amount of $0.1 million).

  • Legal due diligence and issuance of legal opinions on issues arising during the execution of an EPC contract concluded by a Chinese corporation with a Russian company for the construction of a gas processing plant, including consideration and settlement of disputes under the law of England, Wales and the Russian Federation, both with the general contractor and subcontractors.

  • Legal analysis of big EPC contracts for the construction of main gas pipelines, booster compressor stations, oil heating stations, facilities in the energy and gas sectors of the economy, carried out by an oil and gas company.

  • Representation of a subsidiary of a big oil and gas holding company in arbitration courts of the Russian Federation in cases of collecting receivables and defending the interests of the company in respect of counterparties’ claims against it for a total amount of more than 60 million rubles.

  • Drafting and concordance of corporate documentation with a foreign participant of an oil and gas company (international jurisdictions Republic of Cyprus, Switzerland).

  • Work with big holding structures, including offshore companies, in order to resolve complex cross-border issues related to changes in Russian legislation.

  • Debtors’ due diligence of a big Russian oil and gas company and their subsidiaries, as well as support in a transaction to acquire one of them.

  • Representation in an arbitration court and in a court of general jurisdiction of the Russian Federation in cases challenging the conclusion of Rostekhnadzor and the State Labor Inspectorate on bringing the company management to administrative responsibility and canceling the State Labor Inspector’s decision on the forced issuance (cancellation) of the company local legal act.
